The following terms and conditions of sale (the “Terms of Sale”) are legal terms that govern the sale of the Products sold by PRIME ARMOR LLC (“PRIME,” “we,” “us,” or “our”) on our website.

BY MAKING PRODUCT PURCHASES ON THE WEBSITE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SALE, WHICH, TOGETHER WITH THE TERMS OF USE AND PRIVACY POLICY, COMPRISE THE AGREEMENT.  IF YOU DO NOT AGREE TO THE AGREEMENT, YOU MAY NOT PURCHASE OUR PRODUCTS.

Capitalized terms are not defined in these Terms of Sale. The meaning set forth in our Terms of Use [ website link of terms of use ] or our Privacy Policy [ website link of Privacy Policy ].

Prime Body Armor may, at any time, modify, change or add to these Terms of Sale, and any such modifications will be effective immediately upon posting on the Website without notification.  We highly recommend that customers periodically check these Terms of Sale for modifications.  Your purchase of any Products after the posting of any changes to the Agreement constitutes your acceptance of/and agreement to be legally bound by such changes.

Order Placement

Orders may only be placed by individuals aged 18 years or older or by a legal guardian that is the age of 25 or older.  If you are 18 or older, but under the age of majority in your jurisdiction, you should review this Agreement with your parent or guardian to make sure that you and your parent or guardian understand it.

Orders may be placed directly on the Website by following the purchase prompts.  Your receipt of an order confirmation from Prime Body Armor, in electronic or other forms, does not signify our acceptance of your order, nor does it constitute confirmation of our offer to sell. We reserve all right at any time after the receipt of your order to accept, decline, or limit your order for any reason, whether or not your credit card has been charged. If your credit card has been charged and your order is canceled, Prime Body Armor will immediately issue a refund to your credit card account in the amount of the charge and notify you that your order was canceled.  In addition, Prime Armor may, in it’s sole discretion, limit the quantities that an individual or a household may purchase in a single order or in multiple orders, and we may impose conditions on the honoring of any coupon, coupon code, promotional code, or other similar promotion in compliance with applicable law.  All orders are subject to product availability.

By placing an order for Products from Prime Body Armor, you represent and warrant to Prime Body Armor that you will use the Product(s) only in a lawful manner, for personal use, and not for resale.

Prices and Payments

All Product prices are listed on the website on the applicable product pages. Prices are in USD and may change from time to time without notice. You agree to pay in full at the time of placing an order using any major credit card, Visa is accepted by Prime Armor or Paypal. Prices listed are exclusive of federal, state, and local sales, use, excise, or similar taxes, or shipping fees, and you will be liable for such taxes and fees.  All applicable fees and taxes, including shipping fees, shall be added to your order at the time of check out.

Shipping and Delivery

Prime Body Armor uses reliable third-party carriers such as UPS and the USPS to deliver our Products to you. In some cases, customer pick-up may be available. Prime Body Armor uses commercially reasonable efforts to ship Products within one (1) business day after payment for the Products has been received in full when Products are in stock. If manufacturing time is needed for any Product purchased, Prime Armor will contact you with an estimated lead time for the order. Notwithstanding the foregoing, all delivery times provided for in an order confirmation represent approximate delivery times, and actual delivery times may vary as a result of events outside of our control.

Prime Armor is not liable for any damages (including, without limitation, any incidental or consequential damages) arising from its failure to deliver or delay in delivering the Products purchased hereunder. You bear all risk of loss and damage to the Products from the time the Products leave our warehouse or fulfillment house. Delivery is deemed complete and title to the merchandise passes to you upon acceptance of shipment by a common carrier.

Our shipping rates depend on the value and volume of purchased items. We offer free shipping on all orders, however additional fees may apply to oversized or heavy items/orders (over 50lbs). Prime Armor will

notify you of any such fees in advance.

Returns

We want all of our customers to be happy with purchases made through our Website. If you are unhappy with your order, we will accept Product returns if received by us within fifteen (15) days of the date of delivery, subject to the requirements set forth in this Section. Plates are non-returnable unless you experienced obvious damage to your product caused by wrong packaging or delivering an already defective product. Please make sure to inspect the packaging of your item(s) when they arrive, if you notice any damage, you should document it when signing for delivery. If the item(s) contained in the package arrives damaged, please send photos to sales@primebodyarmor.com, and we will process an insurance claim on your behalf.

 To initiate a return, please go to our website, scroll down to the bottom, and go to RETURNS section where the automatic system will guide you through the return process. You are solely responsible for the cost of return shipping to us (except for returns sent under our Limited Product Warranty, as defined below).  We are not liable for Products that are damaged or lost in transit to Prime Armor.  We recommend that you ship your returned Product to us via a trackable shipment method.

Upon our receipt of the Product at our warehouse, we will inspect the Product and process the return. After the return has reached our facility, please allow approximately ten (10) business days for the refund to be credited to your account.

Notwithstanding the foregoing, only orders that meet the following requirements shall be eligible for return

  1. Products must be returned in their original packaging with all tags still attached, and complete with all parts and accessories.
  2. Products must be in new condition and must not be used, altered, or damaged.
  3. If you are unable to comply fully with this return policy, you may not be entitled to a refund, in whole or in part, at our sole discretion.

Limited Product Warranty

EXCEPT AS OTHERWISE SET FORTH HEREIN, PRIME BODY ARMOR PRODUCTS ARE SOLD ONLY WITH THE 5-YEAR  LIMITED PRODUCT  THIRD-PARTY PRODUCTS ARE EXPRESSLY EXCLUDED FROM THE BELOW LIMITED PRODUCT WARRANTY, AND ARE SUBJECT ONLY TO THOSE WARRANTIES EXTENDED BY THE APPLICABLE THIRD-PARTY MANUFACTURERS OF SUCH PRODUCTS, IF ANY. EXCEPT WHERE PROHIBITED BY LAW OR AS OTHERWISE PROVIDED HEREIN, OEI HEREBY EXPRESSLY DISCLAIMS ALL WARRANTIES EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.  ACE PERSONNEL, SUPPLIERS, AND LICENSEES ARE NOT AUTHORIZED TO ALTER THESE WARRANTIES.

Prime Body Armor warrants that the Products are free from defects in materials and workmanship, subject to specific limitations and conditions set forth below, for a period of 5 (five) years from the date of the original purchase by the first end-user (the “Warranty Period”).  Claims of defect brought after the Warranty Period will not be covered by this Limited Product Warranty.  In order to bring a claim under this Limited Product Warranty, you must notify Prime Armor by email to sales@primebodyarmor.com, describing the defect in reasonable detail and, if requested by Prime Body Armor, photographic evidence of the defect. If Prime Body Armor determines that such defect may be covered by this Limited Product Warranty, PRIME will issue a return material authorization (“RMA”) to you, and you shall return the Product in question to Prime Armor using the instructions provided by Prime Body Armor. If Prime Body Armor, in our reasonable discretion, determines that a Product has a defect in materials or workmanship, we shall, at our option, repair or replace the defective Product at no cost to you.

If identical materials are not available at the time of repair or replacement, we may, at our option, substitute materials of comparable quality or refund your money.  The Products are intended only for use as body armor, and this Limited Product Warranty shall not cover any Product used for commercial or other purposes. Any alteration by a buyer of a Product shall render this Limited Product Warranty void with respect to the altered Product. This Limited Product Warranty extends only to the original purchaser and shall not cover defects or damages resulting from (i) accident, misuse, abuse, tampering, neglect, unusual physical stress, alteration, or improper operation or handling of the Product; (ii) incorrect or inadequate maintenance, cleaning, or care of the Product; or (iii) normal wear and tear of the Product. Prime Body Armor will not be responsible under this Limited Product Warranty or otherwise for defects or damage caused by any ancillary equipment not furnished by Prime Body Armor which is attached to or used in connection with the Products, and all such equipment is expressly excluded from this Limited Product Warranty. This Limited Product Warranty does not extend to consumable parts, such as batteries, or any third-party products that you may use or purchase from Prime Body Armor in conjunction with the Products.

Errors and Inaccuracies

We attempt to be as accurate as possible with Product descriptions and prices. However, we do not warrant that Product descriptions or prices are accurate. In the event that a product is listed at an incorrect price or with incorrect information due to typographical error, error in pricing, or Product information error, we shall have the right to refuse or cancel any orders placed for Products listed at the incorrect price or with incorrect information. We shall have the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit card has been charged. If your credit or debit card has already been charged for the purchase and your order is canceled, we shall immediately issue a refund to your credit card account in the amount of the charge and advise you of the canceled order.

Limitation of Liability

IN NO EVENT SHALL PRIME BODY ARMOR BE LIABLE UNDER ANY LEGAL THEORY OR FORM OF ACTION FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES (INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, OR COST OF SUBSTITUTE GOODS) IN CONNECTION WITH ANY WARRANTY, CONTRACT, OR COMMON LAW TORT CLAIMS ARISING OUT OF OR RELATED TO THE PRODUCTS, EVEN IF PRIME BODY ARMOR HAD NOTICE OF THE POSSIBILITY OF SUCH DAMAGES.  IN NO EVENT SHALL OUR TOTAL LIABILITY IN CONNECTION WITH ANY CAUSES OF ACTION ARISING UNDER WARRANTY, CONTRACT, OR COMMON LAW TORT CLAIMS RELATED TO THE PRODUCTS (NOT ATTRIBUTABLE TO PERSONAL INJURIES) EXCEED $100. THESE EXCLUSIONS AND LIMITATIONS SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY PROVIDED HEREIN.

Compliance with Laws

The sale of armor is permissible in 49 states (please review your state regulations before making a purchase). Prime Body Armor will not fulfill any orders to the state of Connecticut, or any other jurisdiction in which it is illegal. Prime Body Armor reserves the right to limit the sales of our Products to any specific person, geographic region, or jurisdiction on a case-by-case basis, in our sole discretion, without liability.

All Terms of Agreement Apply

All terms and conditions of the Agreement, including, without limitation, those set forth in the Terms of Use and Privacy Policy, shall govern these Terms of Use.
